Welcome to Bright Market. Please read these terms and conditions that govern the use of our products, services, and applications, which include Bright Market Assortment, Bright Market Purchasing, Bright Market Loyalty, Bright Market Pricing, and Bright Market Promotions (the “Products”). If you subscribe to the products through a Master Services Agreement, those products will be governed by that agreement and not by these online terms. These Terms of Service (the “Terms”) are a binding contract between you and Bright Market SAS. (“Bright Market,” “we,” and “us”). You must accept all the Terms to use our products. Your use of the products implies acceptance of these Terms, and these Terms will remain in effect while you use the Products.

MODIFICATIONS AND UPDATES TO THE TERMS

We may change these Terms at any time to improve our Products. We will notify you of any changes by placing a notice on the Bright Market website, sending you an email, and/or through other means. If you do not agree with the new Terms, you must stop using the Products. Continued use of the Products after a change to the Terms implies your acceptance of those changes.

SERVICE REGISTRATION PROCEDURES

When registering for the Products, you must provide truthful and up-to-date information, including your name, billing address, email, and credit card details (“Registration Data”). If you provide incorrect or incomplete information, Bright Market may suspend or terminate your use of the Products. You must keep your Registration Data updated and secure, notifying Bright Market of any unauthorized use of your account.

INFORMATION AND THIRD PARTIES

In connection with the Services, you may need to provide personal data (“Customer Data”). You grant Bright Market a license to use this data to provide, develop, and improve the Products. We may share your data with employees, contractors, and agents who need to know the information to improve and personalize the Products.

WARRANTY, LIMITATION OF LIABILITY, AND INDEMNIFICATION

Disclaimer of Warranty: The Products are provided “AS IS,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or that the use of the Products will be uninterrupted or error-free.

Limitation of Liability: Bright Market will not be liable for any indirect, special, incidental, or consequential damages, including loss of profits, interruption of work, or computer failures.

Indemnification: You agree to indemnify and hold Bright Market harmless from any claims or damages arising from your use of the Products or your violation of these Terms.

CHANGES TO THE SERVICES

Bright Market may modify the features or functions of the Products at any time. We are not obligated to provide you with subsequent versions of the Products. Your continued use of the Products after any modification constitutes your acceptance of those changes.

ACCOUNT TERMINATION

You may stop using the Products at any time by contacting us at support@brightmrkt.com. Bright Market may terminate your use of the Products for any reason. Upon termination of your account, all associated information will be deleted in accordance with our Privacy Policy.

BILLING AND PAYMENT

You must provide a valid payment method and authorize Bright Market to charge for the Products. If you do not pay on time, we may disconnect your Products and charge interest on late payments.

CONFIDENTIALITY

You must use Bright Market’s Confidential Information only in connection with your use of the Services and protect this information from any unauthorized disclosure.

OTHER TERMS

Governing Law and Jurisdiction: These Terms are governed by the laws of the Republic of Uruguay.

Survival: Provisions related to intellectual property, confidentiality, indemnification, and limitation of liability will survive the termination of these Terms.

Force Majeure: Bright Market will not be responsible for delays or failures due to causes beyond its reasonable control, such as natural disasters, riots, war, or other unforeseen events.

These API Terms of Service (“Terms”) govern your use of Bright Market APIs. By accessing or using our APIs, you agree to these Terms.

1. Acceptance of Terms

a. Age Requirement: You may use the APIs only if you have the legal age to form a binding contract with Bright Market. If you use the APIs on behalf of an entity, you must have the authority to bind that entity to these Terms.

b. Accurate Information: To access certain APIs, you must provide accurate and up-to-date information as part of the registration process.

2. Use of APIs

a. Legal Compliance: You must comply with all applicable laws and regulations while using the APIs.

b. Authorized Use: Use the APIs only as described in the documentation provided by Bright Market. Keep your developer credentials secure.

c. Usage Limits: Respect the usage limits set by Bright Market, such as the number of allowed API requests.

3. Prohibited Actions

a. No Sublicensing: You cannot sublicense the APIs or create similar services to offer to third parties.

b. Security: Do not introduce viruses, malware, or any destructive elements into the APIs.

c. Inappropriate Conduct: Do not defame, harass, or threaten other users.

d. Reverse Engineering: Do not decompile or reverse engineer the source code of the APIs.

4. Termination

a. Voluntary Termination: You can stop using the APIs at any time by notifying us in writing.

b. Bright Market’s Right to Terminate: We may terminate your access to the APIs at any time for any reason.

c. Post-Termination Obligations: Upon termination, you must cease using the APIs and delete any stored content.

5. Your API Clients

a. Monitoring: Bright Market may monitor the use of the APIs to ensure compliance with these Terms and to improve our services.

b. User Data Protection: You must protect user data collected through your API Client against unauthorized access.

c. Ownership: Bright Market does not acquire ownership of your API Clients through your use of the APIs.

6. User Privacy

a. Privacy Compliance: You must comply with all applicable privacy laws and Bright Market’s Privacy Policy.

7. Confidentiality

a. Developer Credentials: Keep your developer credentials confidential and prevent unauthorized use.

b. Confidential Information: Do not disclose Bright Market’s confidential information without prior written consent.

8. Content

a. Content Responsibility: Content accessible through the APIs is the sole responsibility of the entity providing it.

b. Usage License: By submitting content through the APIs, you grant Bright Market a license to use it as necessary to provide and improve the APIs.

9. Brand Features; Attribution

a. Brand License: Bright Market grants you a license to use its brand features only as permitted by these Terms.

b. Approval: Do not make statements suggesting an association with Bright Market without prior approval.

10. Privacy and Copyright Protection

a. Information Use: Bright Market may use information submitted in accordance with its Privacy Policy.

b. Copyright Infringement: Respond to copyright infringement notices as required by the Digital Millennium Copyright Act (DMCA).

11. API Liability

a. WARRANTIES: The APIs are provided “AS IS” without any warranties, express or implied.

b. LIMITATION OF LIABILITY: Bright Market is not liable for any indirect, special, incidental, or consequential damages.

12. Indemnification

a. Defense and Indemnification: You will indemnify Bright Market against any claims arising from your misuse of the APIs or violation of the Terms.
